Listener Terms & Conditions

These Listener Terms of Engagement ("Terms") govern your participation as a "Listener" on the Dost App ("Platform"), operated by VibeConnect Software Private Limited, a company incorporated under the laws of India ("we", "us", or "our"). By clicking "I Agree" or by making yourself available as a Listener on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, which form a binding agreement between you and us. If you do not agree, you must not register or participate as a Listener.

TERM

  • 1. These Terms shall commence on the date you click 'I Agree' or first make yourself available as a Listener on the Dost App, whichever is earlier, and shall continue until terminated in accordance with these Terms.
  • 2. We may suspend or terminate your participation as a Listener at any time, with or without cause, by giving you notice (including by email or in-app notification).
  • 3. You may stop participating as a Listener at any time by following the account closure process on the Dost App.
  • 4. Termination shall not affect any rights or obligations that have accrued prior to termination.

SCOPE OF SERVICES

  • 1. Making themselves available for live, interactive audio and/or video calls via the Platform.
  • 2. Engaging with Platform users during such calls in accordance with the Platform's content, conduct, and community guidelines.
  • 3. Permitting the use of their name, image, likeness, and profile information for display on the Platform and in related promotional materials.
  • 4. The Listener acknowledges that all such services are provided to the Platform for the purpose of enhancing the Platform’s offerings and user experience, and that the Platform acts solely as an intermediary with respect to any interactions between the Listener and Platform users.

ELIGIBILITY FOR MONETISATION

  • 1. All Listeners on the Dost App are eligible to earn and withdraw earnings.
  • 2. To qualify for monetisation and request payouts, you must meet the following basic requirements:
    • Maintain compliance with the Platform’s Conduct and Content Standards without any suspensions for breach.
    • Successfully complete KYC verification (required for withdrawals).
  • 3. The Platform may, at its discretion, require participation in training(s) and certification(s) from time to time. However, these will not act as a barrier to earning.
  • 4. The Platform may review and revise these requirements from time to time, and such revisions will be notified to you via the Dost App or by SMS.

PAYMENT

  • 1. In consideration for the Services, the Platform shall credit the Listener with earnings based on user spend attributable to their live interactions on the Dost App, including per-call fees, tips, or other monetised user engagements, as determined in accordance with the Platform’s prevailing earnings structure.
  • 2. The earnings structure, applicable deductions (including any platform fees, taxes, or payment gateway charges), and calculation method shall be as communicated to the Listener from time to time via the Dost App or by SMS, and may be modified by the Platform at its discretion. Continued participation as a Listener after any change to the earnings structure constitutes acceptance of the revised terms.
  • 3. The Listener may request a payout of their available earnings at any time once their account balance exceeds INR 50, or such other minimum threshold as may be notified by the Platform from time to time through the Dost App or by SMS. All payouts will be made through the payment methods supported by the Platform and subject to successful completion of any verification, compliance, or tax requirements notified by the Platform.
  • 4. The Listener shall not engage in any fraudulent, deceptive, or inauthentic activity (including but not limited to creating multiple accounts, generating fake calls, or self-tipping) for the purpose of increasing earnings. Any earnings generated through such activity shall be forfeited and may lead to suspension or termination of the account.
  • 5. The Platform’s calculation of earnings and balance shall be final and binding, absent manifest error.
  • 6. Earnings displayed in your Listener account or dashboard are indicative only and represent the total amounts attributable to your activity on the Dost App, before verification and applicable deductions.
  • 7. We may require you to provide additional information, including your Permanent Account Number (PAN), for payouts above a threshold notified by us. You must withdraw any verified, available earnings within 365 days of them being credited to your account; amounts not withdrawn within this period may be forfeited. We may suspend or delay withdrawals if your account is under investigation for suspected breach of these Terms, fraudulent activity, or violation of law.

REPRESENTATIONS AND WARRANTIES

  • 1. You are at least 18 years of age, have the legal capacity to enter into these Terms, and have all rights, licences, and permissions needed to perform the Services.
  • 2. Your participation as a Listener and your use of the Dost App will comply with all applicable laws and with the Platform’s guidelines, policies, and community standards, as updated from time to time.
  • 3. You will not engage in any conduct during your participation as a Listener that could harm the reputation of the Dost App or VibeConnect Software Private Limited.
  • 4. All information you provide to us is true, complete, and not misleading, and you will promptly update it if it changes.
  • 5. You will perform the Services in a diligent, professional, and timely manner, in line with generally accepted standards for online user engagement.
  • 6. Any material you use or share during live interactions (including your voice, image, likeness, and any other content) will not infringe the rights of any third party, and you will be solely responsible for any losses arising from such infringement.
  • 7. You will not share, solicit, or promote any illegal, infringing, harmful, or misleading material during live interactions, and you will comply with all applicable laws relating to online communication.
  • 8. You will respect the privacy and confidentiality of users and will not collect, store, or disclose any user information except as permitted under these Terms or applicable law.

ACCOUNT INFORMATION

  • 1. You must ensure that all information provided in your Listener account (including your name, contact details, payment information, and verification documents) is true, complete, and kept up to date.
  • 2. You must not provide false information, impersonate any person, or make changes to your account details in a way that misleads users or the Platform.
  • 3. We may require you to provide additional documents or verification if you change key account information, and may suspend or terminate your account if you fail to do so.

CONDUCT AND CONTENT STANDARDS

  • 1. You must conduct yourself in a respectful, professional, and lawful manner at all times when using the Dost App and while participating in live interactions with users.
    • 1. Not engage in any fraudulent, deceptive, or inauthentic activity, including creating or using multiple accounts, generating fake calls, logging in without genuine activity, or exploiting any system bug, vulnerability, or loophole.
    • 2. Promptly report to us any technical issue, bug, payment error, or security vulnerability you discover, or attempt to take advantage of such issues.
    • 3. Participate in training sessions if requested by the Platform and follow any guidelines or instructions provided during such sessions.
    • 4. Not post, share, or communicate any material during live interactions that violates these Terms, our community guidelines, or applicable law.
    • 5. Not engage in any form of harassment, including verbal abuse, sexual harassment, or disrespectful comments based on culture, religion, belief, point of view, or other personal characteristics.
    • 6. Not solicit or promote any religious belief, non-belief, or point of view to users, except where directly relevant to the topic of a live conversation and conducted respectfully.
    • 7. Not make negative or derogatory remarks towards another user in a way that creates an uncomfortable environment; all feedback or criticism must be constructive and presented respectfully.
    • 8. Not promote, sell, or facilitate the sale of any unauthorized or illegal materials.
    • 9. Not threaten violence, use profanity, or otherwise engage in conduct that may reasonably be considered offensive or harmful.
    • 10. Not solicit, encourage, or arrange any communication, transaction, or engagement with users outside the Dost App in a way that circumvents the Platform, including by directing them to competitor platforms; or
    • 11. Not record, reproduce, or share any part of the live audio or video interactions outside the Dost App, or permit others to do so.
  • 2. You must at all times comply with the Platform’s community guidelines, content policies, and any other rules communicated to you, as updated from time to time.

SUSPENSION AND REMOVAL

  • 1. We may, at our discretion, suspend, restrict, or remove your access to the Dost App (including your Listener profile or ability to participate in live interactions) if we believe you have breached these Terms, our guidelines, or applicable law, or if we consider it necessary for safety, legal compliance, or operational reasons.
  • 2. You acknowledge that we are not responsible for any loss of earnings, opportunities, data, or any other loss or damage you may suffer as a result of such suspension, restriction, or removal, and that no compensation will be payable in such cases.
  • 3. Any removal or suspension under this clause does not limit our other rights or remedies under these Terms or at law.

INTELLECTUAL PROPERTY RIGHTS

  • 1. You will retain ownership of any material you create or share during your live interactions on the Dost App, subject to any rights in third-party material you may include. You are solely responsible for ensuring that you have all rights, licences, and permissions needed to use such material.
  • 2. You must not use any third-party intellectual property (including music, videos, images, artworks, or text) in your live interactions in a way that infringes the rights of others or breaches applicable licence terms. If we notify you, or you become aware, that your material breaches this clause, you must immediately remove or stop using the infringing material.
  • 3. Nothing in these Terms transfers to us any ownership rights in your material, and nothing in these Terms transfers to you any ownership rights in the Dost App, our trademarks, or any other intellectual property owned by Behtar Technology Private Limited.

CONFIDENTIALITY

  • 1. You must keep confidential and not share with any third party any non-public information you receive or become aware of through your participation as a Listener, including: (a) personal information or details about Dost App users; (b) information about the operation, technology, or policies of the Dost App; and (c) any other information marked or reasonably understood to be confidential ("Confidential Information").
  • 2. You may use Confidential Information only for the purpose of performing the Services and must protect it with at least the same degree of care you use to protect your own confidential information.
  • 3. You may disclose Confidential Information only if required by law or legal process, and then only to the extent required and after giving us prompt notice (where permitted) so that we may seek protective measures.
  • 4. These confidentiality obligations will continue to apply even after you stop participating as a Listener.

INDEMNITY

  • 1. You agree to indemnify and hold harmless VibeConnect Software Private Limited, its directors, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
    • 1. Your breach of these Terms or of any representation or warranty you make under these Terms.
    • 2. Any content, material, or conduct in your live interactions that infringes the rights of, or otherwise harms, any person or entity.
    • 3. Any violation of applicable law by you.
    • 4. Any claim or action by a government or regulatory authority arising from your acts or omissions while using the Dost App as a Listener.
  • 2. This obligation will continue even after you stop participating as a Listener.

LIMITATION OF LIABILITY

  • 1. To the maximum extent permitted by law, we shall not be liable to you for any indirect, incidental, consequential, punitive, or special damages, including loss of earnings, opportunities, data, or goodwill.
  • 2. Our total liability to you for any claim arising out of or in connection with these Terms shall not exceed the total amount of earnings paid to you through the Dost App in the three (3) months immediately preceding the event giving rise to the claim.
  • 3. Nothing in these Terms limits your liability to us for any breach of these Terms, infringement of third-party rights, or violation of law.

TERMINATION

  • 1. These Terms will continue to apply until terminated by either you or us.
  • 2. You may terminate your participation as a Listener at any time by closing your Listener account through the Dost App.
  • 3. We may terminate your participation as a Listener, or terminate these Terms as they apply to you, at any time and for any reason, including where:
    • 1. You breach these Terms, our guidelines, or applicable law.
    • 2. We believe your conduct may harm the Dost App, its users, or our reputation.
    • 3. We discontinue offering the Listener programme.
  • 4. If your account is terminated or suspended due to a breach of these Terms, fraudulent activity, or violation of applicable law, we may withhold payment of any earnings that we reasonably determine are connected to such breach or activity, pending investigation. Any earnings found to have been generated through fraudulent, deceptive, or prohibited means will be forfeited. All other legitimate, verified earnings will be paid to you in accordance with Clause 4.
  • 5. Termination will not affect any rights or obligations that have accrued prior to termination, including any rights we may have to recover amounts from you or your obligation to maintain confidentiality and provide indemnity under these Terms.

GOVERNING LAW AND JURISDICTION

  • 1. These Terms shall be governed by and construed in accordance with the laws of India.
  • 2. You agree that the courts in Bengaluru, India shall have exclusive jurisdiction over any disputes or claims arising out of or in connection with these Terms or your participation as a Listener.

MISCELLANEOUS

  • 1. Relationship: Nothing in these Terms creates any partnership, joint venture, agency, employment, or other similar relationship between you and us, and you have no authority to bind us in any way.
  • 2. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of business without your consent.
  • 3. No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision, and any waiver must be in writing to be effective.
  • 4. Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • 5. Entire Agreement: These Terms, together with the Platform Terms and policies referenced in them, are the entire agreement between you and us regarding your participation as a Listener and supersede all prior understandings on the same subject.
  • 6. Non-Exclusivity: Your engagement as a Listener is non-exclusive, and we may engage other individuals or entities to provide the same or similar services.
  • 7. Survival: Clauses relating to confidentiality, intellectual property, indemnity, limitation of liability, and any other provisions intended to survive termination will continue to apply after you stop participating as a Listener.
